Why the Index Exists

AI investment is accelerating. Governance practices are still emerging.

Organizations are investing heavily in artificial intelligence, yet board-level oversight remains inconsistent. A March 2026 analysis of 2025 proxy statements by Harvard Law School and Glass Lewis found that only 54% of S&P 100 companies disclosed board-level AI oversight — and even among those, practices varied significantly, with 63% delegating to a committee and 37% using the full board.*

Boards that do have oversight in place must be able to assess:

  • How capital is allocated with appropriate discipline

How the Index Works

About the Board AI Governance Council

The Board AI Governance Index™ is published by the Board AI Governance Council.

The Board AI Governance Index™ is an independent benchmarking initiative measuring how organizations govern artificial intelligence at the board level.

Participation is voluntary and anonymized. No company-specific data is published or disclosed. Findings are used to build the first cross-industry dataset on board-level AI oversight practices, giving boards, investors, and governance professionals a factual basis for evaluating where they stand.

This is not a consulting engagement. It is not a certification program. It is a measurement tool designed for directors who need to know whether their oversight keeps pace with their organization's AI activity.

Built From Practice, Not Theory

The Index was developed from direct experience governing AI investment decisions under board scrutiny and capital constraints. Every assessment question reflects a governance failure or success observed from inside the organization, not modeled from the outside.

Informed by Research and Regulation

The framework integrates findings from MIT Sloan research on AI scaling failures, NACD guidance on board oversight of emerging technologies, EU AI Act risk-classification requirements, and NIST AI Risk Management standards. It is updated annually as regulatory requirements and competitive dynamics evolve.

Designed for the Boardroom

Quarterly assessments take approximately 15 minutes. The framework deliberately excludes operational and technical details that fall to management, focusing only on the strategic, competitive, and financial questions boards must answer to fulfill their fiduciary duties.
